Digital Product License & Disclaimer

A plain-language license for using FolioVLT templates in your own business and projects.

In short: You may customize and use the purchased files inside your own business and projects. Do not resell, publish, or distribute the blank reusable source. These are general editable workflow templates—not legal advice or attorney-approved forms. You are responsible for adapting and verifying them for your project and jurisdiction before use.

1. Agreement

By completing a purchase after checking the required acceptance box, downloading, opening, or using a FolioVLT product, the purchaser agrees to this license. If purchasing for an organization, the purchaser represents that they may accept these terms for that organization. Keep a copy with the purchased files.

2. License grant

FolioVLT grants the purchaser a limited, non-exclusive, non-transferable license to edit, duplicate, and use the purchased templates for the purchaser’s own internal business operations and projects. The purchaser may share completed or project-specific copies with project participants, clients, and professional advisers when reasonably needed for that project.

3. What is not allowed

The purchaser may not resell, sublicense, rent, publish, post, upload, give away, or distribute the blank or substantially reusable source files; remove ownership notices from support or license files; or use the files to create a competing template, forms, or document-library product. Access may not be shared outside the purchasing organization except for permitted project-specific use.

4. General template—not professional advice

FolioVLT provides general editable business templates and educational material. The products are not legal, accounting, tax, insurance, engineering, architectural, safety, or other professional advice and do not create a professional-client relationship. FolioVLT does not represent or sell the products as attorney-approved, regulator-approved, or suitable for every use. FolioVLT does not select terms for a particular deal, project, company, or jurisdiction. Requirements, contracts, and laws vary and change.

5. Purchaser review and responsibility

Before use, the purchaser must review and adapt every file for the governing agreement, project, company procedures, insurance program, and applicable federal, state, and local requirements. The purchaser is responsible for determining whether a template is appropriate for the intended use and for obtaining review from the purchaser’s own attorney or another qualified professional when needed. The purchaser is responsible for decisions, implementation, signatures, notices, deadlines, compliance, recordkeeping, and results.

6. No guarantee

Products are provided “as is” and “as available.” To the fullest extent permitted by law, FolioVLT disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, legal sufficiency, enforceability, accuracy, completeness, and compliance. No template can guarantee a business, legal, payment, safety, project, or dispute outcome.

7. Intellectual property

FolioVLT and its licensors retain ownership of the product design, source templates, supporting material, branding, and other intellectual property. The purchase transfers only the limited license stated here, not ownership of the source product.

8. Digital delivery and refunds

Digital products are delivered after successful payment. Because access is immediate, sales are generally final after the files are accessed, except when the delivered file is corrupt, materially incomplete, the wrong product, or a refund is required by applicable law. Contact foliovlt@gmail.com with the order number and issue so FolioVLT can replace or correct an eligible file.

9. Limitation of liability

To the fullest extent permitted by law, FolioVLT will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profit, lost revenue, lost data, business interruption, project delay, or third-party claims arising from a product or its use. FolioVLT’s aggregate liability for a claim relating to a product will not exceed the amount paid for that product. These limits apply only to the extent permitted by applicable law and do not exclude rights that cannot lawfully be waived.

10. Misuse and termination

The license ends automatically if the purchaser materially violates these terms. On termination, the purchaser must stop using and distributing the reusable source and delete unauthorized copies. Project-specific records that must be retained by law, contract, or ordinary recordkeeping may be kept for that limited purpose.

11. Updates and severability

The version accepted at checkout controls that purchase unless FolioVLT and the purchaser agree otherwise. If a provision is held unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Applicable non-waivable law controls.

12. Questions

Questions about delivery, file access, or the permitted license may be sent to foliovlt@gmail.com. FolioVLT cannot advise how a template should be completed for a particular legal or professional situation.
